      underlying litigation involved a dispute over control of Automated =
Marine=20
      Propulsion Systems, Inc. (AMPS), a company founded by Anatoly =
Sverdlin and=20
      one in which he initially owned 100% of the stock.&nbsp; In that =
suit,=20
      Sverdlin individually and derivatively on behalf of AMPS sued =
Swank,=20
      McCoy, the directors of AMPS, others who had invested in AMPS, and =
the law=20
      firm for AMPS.&nbsp; After Sverdlin obtained a substantial jury =
verdict=20
      against all of the defendants, Sverdlin settled his individual and =

      derivative claims against Gardere, Wynne, Sewell &amp; Riggs (the =
law firm=20
      that had represented AMPS when the investors loaned it $2 million) =
and its=20
      partner David Jungman (Gardere Wynne).&nbsp; Ultimately, the&nbsp; =

      judgment of the trial court in <I>Swank v. Sverdlin</I> was =
reversed, and=20
      the court of appeals rendered a take-nothing judgment against =
Sverdlin on=20
      all his claims against the non-settling defendants.&nbsp; 121 =

justify">In this=20
      suit, Swank and McCoy are complaining about the failure of AMPS to =
receive=20
      a portion of the $20 million settlement paid by Gardere Wynne to=20
      Sverdlin.&nbsp; Because their complaint rests on an assumption =
that AMPS=20
      had a valid jury verdict against Gardere Wynne, Swank and McCoy =
must show=20
      that they were stockholders of AMPS to maintain their derivative=20
      claims.&nbsp; Swank and McCoy had been granted options by Sverdlin =
on his=20
      AMPS stock.&nbsp; They attempted to exercise those options.&nbsp; =
However,=20
      Sverdlin refused to comply with the option contracts, and there is =
no=20
      evidence that Sverdlin ever delivered the AMPS stock to them.</P>

      cause, the trial court below granted summary judgments in favor of =

      appellee attorneys.&nbsp; Because Swank and McCoy have no standing =

      because, even if they had standing, their claims lack merit, we=20
affirm.</P>

      Cunningham Group) represented Sverdlin individually and in his=20
      representative capacity on behalf of AMPS in the underlying =
litigation;=20
      (4) Beck, Redden &amp; Secrest (Beck Redden) was substituted as =
counsel=20
      for Swank after the jury reached its verdict in the underlying =
litigation;=20
      and (5) Larry Veselka and Craig Smyser and their law firm of =
Smyser,=20
      Kaplan &amp; Veselka L.L.P. (Smyser Kaplan) were substituted as =
counsel=20
      for McCoy after the jury reached its verdict in the underlying=20
      litigation.</P>

      <P class=3DMsoNormal=20

justify">Anatoly=20
      Sverdlin, an engineer from Russia, established AMPS in Houston to =
repair=20
      diesel marine engines on large ships.&nbsp; Initially, Sverdlin =
was the=20
      sole owner and chief executive officer of AMPS.&nbsp; He =
subsequently=20
      developed and obtained patents for a new fluid control injection =
system=20
      (FCIS), which allegedly improved engine efficiency and lowered=20
      costs.&nbsp; Sverdlin then decided to phase out of the engine =
repair=20
      business and concentrate on marketing the new FCIS.</P>
      <P class=3DMsoNormal=20
      style=3D"TEXT-INDENT: 0.5in; LINE-HEIGHT: 150%; TEXT-ALIGN: =
justify">After=20
      shifting away from engine repairs, AMPS began to operate at a =
loss, losing=20
      over $125,000 in 1995.&nbsp; Early in 1995, AMPS hired McCoy as =
vice=20
      president of industrial sales and Swank as president.&nbsp; Swank =
was to=20
      develop a business plan to attract investors for AMPS.&nbsp; As an =

      incentive, Sverdlin granted Swank and McCoy options on some of his =
shares=20
      of AMPS<SPAN style=3D"FONT-FAMILY: 'WP =
TypographicSymbols'">=3D</SPAN>s=20
      stock.&nbsp; These stock options gave Swank and McCoy an =
opportunity to=20
      each own up to twenty percent of AMPS.</P>
      <P class=3DMsoNormal=20
      style=3D"TEXT-INDENT: 0.5in; LINE-HEIGHT: 150%; TEXT-ALIGN: =
justify">McCoy=20
      introduced Sverdlin to an investor, Marvin Chudnoff, who in turn =
recruited=20
      additional investors.&nbsp; Chudnoff and three other individuals =
created=20
      AMPS Investment, L.L.C.&nbsp; AMPS Investment then created L.D.E.=20
      Associates, L.L.C. (LDE), which was the entity through which AMPS=20
      Investment and Louis Dreyfus Natural Gas Holdings Corp. (LDNGH) =
invested=20
      in AMPS.&nbsp; Jeffrey Sussman of AMPS Investment signed documents =
as=20
      LDE<SPAN style=3D"FONT-FAMILY: 'WP =
TypographicSymbols'">=3D</SPAN>s=20
      president.&nbsp; There were lengthy negotiations for AMPS to =
obtain a $2=20
      million loan from LDE to continue development and marketing of the =

      FCIS.&nbsp; As president of AMPS, Swank often spoke on behalf of =
AMPS, and=20
      he hired Gardere Wynne to represent AMPS in the loan =
transaction.&nbsp;=20
      Sverdlin and his wife, who were the directors of AMPS at the time, =
signed=20
      a statement giving the AMPS board<SPAN=20
      style=3D"FONT-FAMILY: 'WP TypographicSymbols'">=3D</SPAN>s =
approval to an=20
      initial June 1996 letter agreement for the loan, and later =
Sverdlin signed=20
      the final loan documents.&nbsp; The loan agreement was finalized =
in=20
      September 1996, and it gave LDE the right to choose two of the =
three=20
      directors.&nbsp; LDE chose Chudnoff and Sussman.</P></DIV><SPAN=20
      style=3D"FONT-SIZE: 12pt; LINE-HEIGHT: 150%; FONT-FAMILY: 'Times =
New Roman'"><BR=20
      style=3D"PAGE-BREAK-BEFORE: auto" clear=3Dall></SPAN>

justify">Unfortunately,=20
      the FCIS did not function as expected.&nbsp; AMPS lost money, and =
the=20
      parties began to disagree on how AMPS should be run.&nbsp; =
Sverdlin=20
      believed that the board of directors had stopped listening to him =
and that=20
      the board was taking control of AMPS, causing it to become =
unmanageable.=20
      Sverdlin threatened to fire Swank and McCoy and take back his=20
      patents.&nbsp; Swank and McCoy attempted to exercise their stock =
options=20
      in AMPS,<A title=3D""=20
      =

      shares to them.&nbsp; The AMPS board decided that Sverdlin was =
damaging=20
      the company in violation of his employment agreement and =
terminated his=20
      employment in January 1997.&nbsp; AMPS had been operating at a =
loss.&nbsp;=20
      AMPS<SPAN style=3D"FONT-FAMILY: 'WP =
TypographicSymbols'">=3D</SPAN>s net=20
      income after taxes in 1996 revealed over half a million dollars in =

      losses.&nbsp; To continue operations, AMPS borrowed additional =
money=20
      directly from LDNGH.</P>
      <P class=3DMsoNormal=20
      style=3D"TEXT-INDENT: 0.5in; LINE-HEIGHT: 150%; TEXT-ALIGN: =
justify">AMPS=20
      and LDE obtained a temporary injunction against Sverdlin to keep =
him away=20
      from AMPS and its customers.&nbsp; Sverdlin filed a counterclaim=20
      individually and on behalf of AMPS in his derivative capacity =
seeking=20
      declaratory relief and alleging numerous causes of action, =
including=20
      fraud, breach of contract, breach of fiduciary duty, negligence, =
gross=20
      negligence, conspiracy, tortious interference, and usury.&nbsp; =
Sverdlin=20
      also sought declaratory relief that he was the 100% owner of =
AMPS.&nbsp;=20
      Subsequently, the trial court modified the injunction to freeze =
all of the=20
      parties<SPAN style=3D"FONT-FAMILY: 'WP =
TypographicSymbols'">=3D</SPAN>=20
      contractual rights and appointed a receiver to oversee AMPS<SPAN=20
      style=3D"FONT-FAMILY: 'WP TypographicSymbols'">=3D</SPAN>s =
operations.&nbsp;=20
      The trial court then realigned the parties by making Sverdlin the=20
      plaintiff in his individual capacity and in his derivative =
capacity on=20
      behalf of AMPS.</P>

      &nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; The =
defendants in=20
      the first trial were AMPS, McCoy, Swank, Chudnoff, Sussman, LDNGH, =
LDE,=20
      and Gardere Wynne.&nbsp; Sverdlin, in his individual capacity, =
sued=20
      Gardere Wynne alleging malpractice based on conflicts of =
interest.&nbsp;=20
      Sverdlin also asserted derivative claims against Gardere Wynne but =
did not=20
      sue the firm derivatively for malpractice.&nbsp; Except for =
Gardere Wynne,=20
      which was represented by Fulbright &amp; Jaworski, all of the =
defendants=20
      were represented by Calvin Verner.&nbsp; Battle Fowler was listed =
as being=20

derivative=20
      claims).&nbsp; After the verdict but before the judgment was =
entered,=20
      there were a number of changes in the defendants<SPAN=20

      style=3D"TEXT-INDENT: 0.5in; LINE-HEIGHT: 150%; TEXT-ALIGN: =
justify">Even=20
      though Sverdlin had not pleaded a derivative claim on behalf of =
AMPS for=20
      malpractice against Gardere Wynne, the trial court<SPAN=20
      style=3D"FONT-FAMILY: 'WP TypographicSymbols'">=3D</SPAN>s charge =
included a=20
      question asking whether Gardere Wynne had committed negligence =
against=20
      AMPS.&nbsp; The jury found that Gardere Wynne had committed =
negligence=20
      against AMPS.&nbsp; Against Gardere Wynne, the jury awarded $24.5 =
million=20
      in damages to Sverdlin individually and $35 million to Sverdlin=20
      derivatively on behalf of AMPS as a result of its findings that =
Gardere=20
      Wynne had been negligent.&nbsp; Because there were no pleadings to =
support=20
      the award to AMPS against Gardere Wynne, Lloyd R. Cunningham=20
      (Sverdlin<SPAN style=3D"FONT-FAMILY: 'WP =
TypographicSymbols'">=3D</SPAN>s=20
      counsel) then filed a trial amendment adding a malpractice claim =
by AMPS=20
      against Gardere Wynne.</P>

      the judgment was entered, Sverdlin announced that he and Gardere =
Wynne had=20
      reached a settlement in principle.&nbsp; Sverdlin agreed to =
withdraw the=20
      trial amendment that he had filed to add a derivative legal =
malpractice=20
      claim on behalf of AMPS, and AMPS agreed to relinquish all claims =
against=20
      Gardere Wynne.&nbsp; On January 7, 1999, Swank, McCoy, and others =
filed a=20
      joint request for a fairness hearing on the derivative =
settlement.&nbsp;=20
      Before the fairness hearing was held, the court entered an =
interlocutory=20
      judgment on January 13, 1999.&nbsp; The interlocutory judgment =
denied=20
      Sverdlin<SPAN style=3D"FONT-FAMILY: 'WP =
TypographicSymbols'">=3D</SPAN>s trial=20
      amendment on behalf of AMPS, approved the settlement of all claims =
against=20
      Gardere Wynne, set aside the jury<SPAN=20
      style=3D"FONT-FAMILY: 'WP TypographicSymbols'">=3D</SPAN>s answers =
relating to=20
      the conduct of Gardere Wynne, and adjudged that Sverdlin take =
nothing by=20
      his claims against Gardere Wynne.&nbsp; Under the settlement, the =

      $20 million was to be paid to Sverdlin =

      to the trial court<SPAN=20

interlocutory=20
      judgment approving the settlement, Smyser Kaplan was successful in =

      obtaining an order from the trial court to disregard all of the =
jury<SPAN=20
      style=3D"FONT-FAMILY: 'WP TypographicSymbols'">=3D</SPAN>s =
liability findings=20
      against McCoy.&nbsp; However, at the fairness hearing on January =
25, Lloyd=20
      Cunningham (Sverdlin<SPAN=20
      style=3D"FONT-FAMILY: 'WP TypographicSymbols'">=3D</SPAN>s =
counsel) argued=20
      that the defendants, which included Swank and McCoy, should not be =
allowed=20
      to object to the fairness to AMPS of any settlement because the =
jury had=20
      found them to be wrongdoers. No one objected to the =
settlement.&nbsp; Near=20
      the end of the fairness hearing, the trial court agreed that the=20
      malpractice claim on behalf of AMPS would not have survived and =
indicated=20
      that it would have set aside that verdict in any event.&nbsp; The =
trial=20
      court then found that the settlement between Sverdlin and Gardere =
Wynne=20
      met <SPAN style=3D"FONT-FAMILY: 'WP =
TypographicSymbols'">A</SPAN>all the=20
      requirements of substantial fairness<SPAN=20
      style=3D"FONT-FAMILY: 'WP TypographicSymbols'">@</SPAN> to AMPS =
and approved=20
      the settlement.</P>
      <P class=3DMsoNormal=20
      style=3D"TEXT-INDENT: 0.5in; LINE-HEIGHT: 150%; TEXT-ALIGN: =
justify">&nbsp;The=20
      Gardere Wynne settlement agreement required formal ratification by =

      AMPS.&nbsp; Brown, Parker &amp; Leahy, the firm selected by the =
receiver,=20
      prepared the ratification papers and circulated those papers to =
Sverdlin=20
      and the new AMPS directors who had been elected after the trial =
court=20
      judgment was entered.&nbsp; After the trial court had declared =
that=20
      Sverdlin was the 100% owner of AMPS, Sverdlin had appointed a new =
board of=20
      directors and president of AMPS.&nbsp; The new board ratified the=20
      settlement and authorized the new president to sign the settlement =

      agreement.&nbsp; The new president then executed the settlement=20
      agreement.</P>
      <P class=3DMsoNormal=20
      style=3D"TEXT-INDENT: 0.5in; LINE-HEIGHT: 150%; TEXT-ALIGN: =
justify">After=20
      several post-verdict motions and hearings, the trial court =
disregarded=20
      certain jury findings, reduced the verdict to approximately $235 =
million=20
      in damages, returned the patents to Sverdlin, and declared that =
100% of=20
      AMPS<SPAN style=3D"FONT-FAMILY: 'WP =
TypographicSymbols'">=3D</SPAN>s stock was=20
      owned by Sverdlin.&nbsp; On January 25, 1999, the trial court =
signed a=20
      final judgment.&nbsp; The judge of the trial court resigned, and =
the case=20
      was transferred to another trial judge.&nbsp; After further =
postjudgment=20
      hearings, the judgment was reduced to approximately $180 =
million.</P>
      <P class=3DMsoNormal=20

justify">Swank,=20
      McCoy, Chudnoff, Sussman, LDE, and LDNGH appealed the $180 million =
final=20
      judgment.&nbsp; McCoy also appealed the trial court<SPAN=20

judgment ruling=20
      that awarded Sverdlin 100% ownership of AMPS.&nbsp; Sverdlin in =

      loss.&nbsp; Swank and McCoy alleged that the injury to AMPS caused =

      injuries to them because they owned shares of stock in AMPS.&nbsp; =

      However, a shareholder of a corporation who receives an indirect =
injury by=20
      reason of a prior injury to the corporation does not have standing =
to=20
      maintain an individual action for damages.&nbsp; <I>Redmon</I>, =

      they lack standing to seek redress in their individual =

      address whether Swank and McCoy have standing to assert derivative =
claims=20
      on behalf of AMPS.&nbsp; The Cunningham Group presented evidence =
in=20
      support of its summary judgment ground that Swank and McCoy lacked =

      standing to assert derivative claims on behalf of AMPS because =
they were=20
      never shareholders in AMPS.&nbsp; The Cunningham Group<SPAN=20
      style=3D"FONT-FAMILY: 'WP TypographicSymbols'">=3D</SPAN>s =
evidence included=20
      excerpts from Swank<SPAN=20
      style=3D"FONT-FAMILY: 'WP TypographicSymbols'">=3D</SPAN>s trial =
testimony in=20
      the underlying litigation, an affidavit of Swank that had been =
filed in=20
      the underlying litigation, and excerpts from Swank<SPAN=20
      style=3D"FONT-FAMILY: 'WP TypographicSymbols'">=3D</SPAN>s =
deposition in this=20
      cause.&nbsp; Swank<SPAN=20
      style=3D"FONT-FAMILY: 'WP TypographicSymbols'">=3D</SPAN>s =
testimony and=20
      affidavit established the following facts: (1) that Sverdlin told =
Swank=20
      and McCoy that he would not recognize their stock options; (2) =
that=20
      Sverdlin repudiated the stock options before Swank and McCoy =
exercised=20
      their stock options; (3) that Swank exercised his stock option =
because=20
      Sverdlin had stated that he would not honor the stock option =
agreements;=20
      (4) that Sverdlin represented to Swank that he would refuse to =
honor the=20
      stock options; and (5) that Swank did not know whether Sverdlin =
ever=20
      endorsed a share certificate over to McCoy or him but that Swank =
believed=20
      that Sverdlin never endorsed a stock certificate over to =
him.&nbsp;=20

      on January 9, 1997.<SPAN=20

McCoy<SPAN=20
      style=3D"FONT-FAMILY: 'WP TypographicSymbols'">=3D</SPAN>s =
appellate brief in=20
      the underlying litigation stated that he exercised his stock =
option on=20
      January 9, 1997.&nbsp; The Cunningham Group<SPAN=20
      style=3D"FONT-FAMILY: 'WP TypographicSymbols'">=3D</SPAN>s summary =
judgment=20
      evidence established that Sverdlin repudiated the stock options =
before=20
      Swank and McCoy attempted to exercise them.&nbsp; The evidence was =

      sufficient to disprove that Swank and McCoy were shareholders in =
AMPS;=20
      therefore, the summary judgment burden shifted to Swank and McCoy =

precluded=20

      First, the court stated in the <SPAN=20
      style=3D"FONT-FAMILY: 'WP =

      style=3D"FONT-FAMILY: 'WP TypographicSymbols'">@</SPAN> section =
that <SPAN=20
      style=3D"FONT-FAMILY: 'WP TypographicSymbols'">A</SPAN>Swank and =
McCoy=20
      exercised their stock options in AMPS.<SPAN=20
      style=3D"FONT-FAMILY: 'WP TypographicSymbols'">@</SPAN>&nbsp; =

      Swank</I>, 121 S.W.3d at 790.&nbsp; Second, the court stated, =
while=20
      analyzing Sverdlin<SPAN=20
      style=3D"FONT-FAMILY: 'WP TypographicSymbols'">=3D</SPAN>s =
tortious=20
      interference claim, that <SPAN=20
      style=3D"FONT-FAMILY: 'WP TypographicSymbols'">A</SPAN>appellants =
had a=20
      financial interest in AMPS, including stock, stock options, and=20
      loans.<SPAN style=3D"FONT-FAMILY: 'WP =
TypographicSymbols'">@</SPAN>&nbsp;=20
      <I>Id.</I> at 801.&nbsp; We note that there were six appellants in =
the=20
      appeal in the underlying litigation.&nbsp; Based on these two =
statements,=20
      Swank and McCoy assert that the court <SPAN=20
      style=3D"FONT-FAMILY: 'WP TypographicSymbols'">A</SPAN>recognized =
that=20
      [they] were shareholders in AMPS.<SPAN=20
      style=3D"FONT-FAMILY: 'WP TypographicSymbols'">@</SPAN></P>

justify">In the=20
      underlying litigation, Sverdlin sought a declaratory judgment that =
he=20
      owned 100% of the stock in AMPS.&nbsp; Sverdlin did not submit a =
jury=20
      issue relating to his claim that he owned 100% of the stock, and =
Swank and=20
      McCoy did not submit jury issues relating to their claims that =
they each=20
      owned 20% of the stock.&nbsp; However, apparently based on the =
jury<SPAN=20
      style=3D"FONT-FAMILY: 'WP TypographicSymbols'">=3D</SPAN>s finding =
that Swank,=20
      McCoy, and three of their codefendants had committed fraud against =

      Sverdlin in connection with <SPAN=20
      style=3D"FONT-FAMILY: 'WP TypographicSymbols'">A</SPAN>the =
transaction=20
      involving his corporate stock,<SPAN=20
      style=3D"FONT-FAMILY: 'WP TypographicSymbols'">@</SPAN> the trial =
court=20
      entered a declaratory judgment that Sverdlin owned 100% of the=20
      stock.&nbsp; The Houston First Court reversed the trial court<SPAN =

judgment and=20
      rendered judgment that Sverdlin and AMPS take nothing on their=20

      breach of contract action to establish that they were shareholders =
in=20
      AMPS.</P>

      and McCoy also assert that they presented summary judgment =
evidence=20
      establishing that, after they exercised their stock options, =
Sverdlin=20
      agreed that he would honor their exercise of the options.&nbsp;=20
      Specifically, Swank and McCoy relied on minutes from a special =
meeting of=20
      AMPS<SPAN style=3D"FONT-FAMILY: 'WP =
TypographicSymbols'">=3D</SPAN>s board of=20
      directors on January 9, 1997.&nbsp; David Jungman of Gardere =
Wynne, acting=20
      as secretary of the meeting, prepared the minutes.&nbsp; Jungman =
stated=20
      the following:&nbsp; <SPAN=20
      style=3D"FONT-FAMILY: 'WP TypographicSymbols'">A</SPAN>Mr. Swank =
notified=20
      the Board that he and James McCoy had exercised their options to =
purchase=20
      stock in [AMPS] from Mr. Sverdlin.&nbsp; Mr. Sverdlin said that he =

      accepted the exercise of the options and that he would act =
pursuant to=20
      such notifications.<SPAN=20
      style=3D"FONT-FAMILY: 'WP TypographicSymbols'">@</SPAN>&nbsp; =
Sverdlin<SPAN=20
      style=3D"FONT-FAMILY: 'WP TypographicSymbols'">=3D</SPAN>s =
statement that he=20
      would act pursuant to the notifications was, at most, a promise to =

      something in the future.&nbsp; The fact that Sverdlin indicated =
that he=20
      would honor Swank<SPAN=20
      style=3D"FONT-FAMILY: 'WP TypographicSymbols'">=3D</SPAN>s and =
McCoy<SPAN=20
      style=3D"FONT-FAMILY: 'WP TypographicSymbols'">=3D</SPAN>s =
exercise of their=20
      stock options is no evidence that he performed his part of the =
option=20
      contract.&nbsp; There was no summary judgment evidence that =
Sverdlin ever=20
      endorsed any stock over to Swank or McCoy.</P>

      summary judgment evidence failed to raise a fact issue on whether =

      owned stock in AMPS.&nbsp; Therefore, Swank and McCoy lack =
standing to=20
      maintain this suit, and the trial court did not err in granting =
summary=20
      judgment to the Cunningham Group on the ground that Swank and =
McCoy lacked=20
      standing to assert derivative claims on behalf of AMPS.&nbsp; =

      AMPS.&nbsp; Appellees argue that Section 21.563 merely removes the =

      procedural requirements for maintaining a derivative action and,=20
      therefore, that Section 21.563 does not confer standing to Swank =
and McCoy=20
      in their individual capacities to assert claims belonging to =
AMPS.&nbsp;=20
      The plain language of the statute does more than remove the =

      d/b/a Accent Home Health (Accent).&nbsp; <I>Id.</I> at 388.&nbsp; =
Daniel,=20
      Leslie, and Judith brought suit in their individual capacities =
seeking to=20
      recover damages to themselves and damages to Accent.&nbsp; The =
suit arose=20
      out of James Rogers<SPAN=20

agreement to invest=20
      in Accent.&nbsp; Daniel, Leslie, and Judith alleged various claims =

      under this scenario, Sverdlin would own 60% of AMPS.&nbsp; To the =
extent=20
      that Swank and McCoy as shareholders in AMPS would be able to =
recover=20
      damages in this cause, Sverdlin (as a shareholder in AMPS) might =
also be=20
      able to recover damages.&nbsp; Section 21.563(c)(1) of the =
Business=20
      Organizations Code provides that, if justice requires, the trial =
court has=20
      discretion to treat a derivative proceeding brought by a =
shareholder of a=20
      closely held corporation as a direct action brought by the =
shareholder for=20
      the shareholder<SPAN=20

      Section 21.563(c)(2) provides that, if justice requires, the trial =

      has discretion to allow the recovery in a derivative action to be =

      directly to the shareholder or (2)&nbsp;to the corporation if =
necessary to=20
      protect the interests of creditors or other shareholders.&nbsp; =
The record=20
      contains thousands of pages documenting the substantial and =
longstanding=20
      disputes that have existed between Swank and McCoy on the one hand =
and=20
      Sverdlin on the other hand.&nbsp; Under the circumstances in this =
cause,=20
      the trial court could reasonably have concluded (1) that justice =
did not=20
      require it to treat this suit as a direct action and (2) that it =
would=20
      have been necessary that any recovery be paid to AMPS to protect =
the=20
      interests of Sverdlin.&nbsp; Therefore, even if Sverdlin owned =
only 60% of=20
      the stock in AMPS, we conclude that the trial court did not abuse =
its=20
      discretion in refusing to allow Swank and McCoy to proceed with =
this cause=20
      in their individual capacities under Section 21.563(c).</P>

      Redden represented Swank and Smyser Kaplan represented =
McCoy.&nbsp; Beck=20
      Redden and Smyser Kaplan did not represent AMPS and, therefore, =
were never=20
      in privity with AMPS.&nbsp; Texas does not recognize a cause of =
action for=20
      legal malpractice asserted by a party not in privity with the =
offending=20

      McCoy<SPAN style=3D"FONT-FAMILY: 'WP =

      standing, the trial court did not err in granting summary judgment =
to=20
      appellees.&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp; </P>

      that duty, (3) that the breach proximately caused the =

      duty claim, while a plaintiff need not prove causation to recover=20
      disgorgement of fees, the plaintiff must prove causation to =
recover actual=20

      answers to interrogatories.&nbsp; Swank stated that he sought to =
recover=20

      damages consist of 20% of the $35 million AMPS jury verdict, or $7 =

      million.</P>

      Anatoly Sverdlin settled his $24 million jury verdict for $20 =

      with the settlement value equaling about 81% of the Jury =
Verdict.&nbsp;=20

TypographicSymbols'">=3D</SPAN>[s]=20
      $35 million Jury Verdict would have an approximate settlement =
value of=20
      $28.35 million.&nbsp; Mark Swank<SPAN=20
      style=3D"FONT-FAMILY: 'WP TypographicSymbols'">=3D</SPAN>s 20% =
interest in the=20
      AMPS<SPAN style=3D"FONT-FAMILY: 'WP =
TypographicSymbols'">=3D</SPAN>[s]=20
      settlement would therefore have a value of $5.76 million.</P>

      $24.5 million jury verdict and the AMPS<SPAN=20

million Jury=20
      Verdict. AMPS[<SPAN=20
      style=3D"FONT-FAMILY: 'WP TypographicSymbols'">=3D</SPAN>s] =
proportionate=20
      share of the settlement would be 58.8% or approximately $11.76=20
      million.&nbsp; Mark Swank<SPAN=20

      Sverdlin should separately forfeit his ill-gotten gain from =

      $35,000,000 verdict against Gardere Wynne.&nbsp; Accordingly, the =
minimum=20
      AMPS should have received was 59% of the proceeds of the Gardere=20
      settlement.&nbsp; Moreover, as soon as Mr. Sverdlin attempted to =
usurp all=20
      of the benefits of the Gardere settlement for his own benefit, =
which=20
      occurred before the settlement was funded, the entire $20,000,000 =
should=20
      have gone to the benefit of AMPS.</P>
      <P class=3DMsoNormal style=3D"TEXT-ALIGN: justify">&nbsp;&nbsp; =
</P>
      <P class=3DMsoNormal=20
      style=3D"TEXT-INDENT: 0.5in; LINE-HEIGHT: 150%; TEXT-ALIGN: =
justify">Swank=20
      and McCoy presented affidavits from Vincent Lee Marable, III, an =
attorney,=20
      in response to appellees<SPAN=20
      style=3D"FONT-FAMILY: 'WP TypographicSymbols'">=3D</SPAN> motions =
for summary=20
      judgment.&nbsp; Marable stated that the distribution of the entire =
$20=20
      million in settlement proceeds directly to Sverdlin was not fair =
to AMPS=20
      or to Swank and McCoy.&nbsp; He also stated that appellees had =
breached=20
      applicable standards of care.&nbsp; Marable also provided <SPAN=20
      style=3D"FONT-FAMILY: 'WP =
TypographicSymbols'">A</SPAN>causation<SPAN=20
      style=3D"FONT-FAMILY: 'WP TypographicSymbols'">@</SPAN> opinions =
in the=20
      affidavits.&nbsp; He stated that the applicable standard of care =
required=20
      Calvin Verner, Battle Fowler, Beck Redden, and Smyser Kaplan to =
object at=20
      the fairness hearing and that, had these appellees adhered to the=20
      applicable standard of care, <SPAN=20
      style=3D"FONT-FAMILY: 'WP TypographicSymbols'">A</SPAN>the =
disbursement of=20
      the $20,000,000.00 settlement funds directly to Sverdlin =
individually=20
      would have been stopped and AMPS<SPAN=20
      style=3D"FONT-FAMILY: 'WP TypographicSymbols'">=3D</SPAN>[s] and =
McCoy<SPAN=20
      style=3D"FONT-FAMILY: 'WP TypographicSymbols'">=3D</SPAN>s and =
Swank<SPAN=20
      style=3D"FONT-FAMILY: 'WP TypographicSymbols'">=3D</SPAN>s rights =
with respect=20
      to the settlement funds would have been preserved.<SPAN=20
      style=3D"FONT-FAMILY: 'WP TypographicSymbols'">@</SPAN>&nbsp; =
Marable also=20
      stated that, <SPAN=20
      style=3D"FONT-FAMILY: 'WP TypographicSymbols'">A</SPAN>had the =
Cunningham=20
      Group adhered to the standard of care by taking steps to prevent =
the loss=20
      of AMPS<SPAN style=3D"FONT-FAMILY: 'WP =
TypographicSymbols'">=3D</SPAN>[s] jury=20
      verdicts, AMPS<SPAN=20
      style=3D"FONT-FAMILY: 'WP TypographicSymbols'">=3D</SPAN>[s] =
causes of action,=20
      and AMPS<SPAN style=3D"FONT-FAMILY: 'WP =
TypographicSymbols'">=3D</SPAN>[s]=20
      assets, AMPS<SPAN style=3D"FONT-FAMILY: 'WP =
TypographicSymbols'">=3D</SPAN>[s]=20
      (and McCoy<SPAN style=3D"FONT-FAMILY: 'WP =
TypographicSymbols'">=3D</SPAN>s and=20
      Swank<SPAN style=3D"FONT-FAMILY: 'WP =
TypographicSymbols'">=3D</SPAN>s) rights=20
      with respect to the settlement funds, proceeds, and property, =
would have=20
      been preserved.<SPAN=20
      style=3D"FONT-FAMILY: 'WP TypographicSymbols'">@</SPAN></P>
      <P class=3DMsoNormal=20
      style=3D"TEXT-INDENT: 0.5in; LINE-HEIGHT: 150%; TEXT-ALIGN: =
justify">The=20
      summary judgment evidence established the following:&nbsp; (1) =
that,=20
      before the trial of the underlying litigation, Sverdlin did not =
plead a=20
      derivative claim on behalf of AMPS for malpractice against Gardere =
Wynne;=20
      (2) that Sverdlin<SPAN=20
      style=3D"FONT-FAMILY: 'WP TypographicSymbols'">=3D</SPAN>s =
counsel, Lloyd=20
      Cunningham, did not believe that Gardere Wynne had committed =
negligence=20
      against AMPS; and (3) that Sverdlin did not present any expert =
testimony=20
      on the issue of whether Gardere Wynne had committed negligence =
against=20
      AMPS. However, the trial court submitted a jury question asking =
whether=20
      Gardere Wynne had committed negligence against AMPS.&nbsp; The =
jury=20
      awarded the total of $35 million to AMPS based on the malpractice=20
      findings.&nbsp; Sverdlin<SPAN=20
      style=3D"FONT-FAMILY: 'WP TypographicSymbols'">=3D</SPAN>s =
counsel, Lloyd=20
      Cunningham, then filed a trial amendment adding a malpractice =
claim by=20
      AMPS against Gardere Wynne.&nbsp; Later, Cunningham sought to =
withdraw the=20
      trial amendment because he believed that there was no evidence to =
support=20
      the jury<SPAN style=3D"FONT-FAMILY: 'WP =
TypographicSymbols'">=3D</SPAN>s=20
      finding that Gardere Wynne had committed negligence against =
AMPS.&nbsp;=20
      Cunningham explained in his deposition in this cause that the =
Cunningham=20
      Group did not pursue a negligence claim on behalf of AMPS against =
Gardere=20
      Wynne because <SPAN=20
      style=3D"FONT-FAMILY: 'WP TypographicSymbols'">A</SPAN>[he] =
honestly=20
      didn<SPAN style=3D"FONT-FAMILY: 'WP =
TypographicSymbols'">=3D</SPAN>t see=20
      support for that in any of the evidence that [he] had prior to =
trial.<SPAN=20
      style=3D"FONT-FAMILY: 'WP TypographicSymbols'">@</SPAN>&nbsp; He =
further=20
      explained:</P>
      <P class=3DMsoNormal=20
      style=3D"MARGIN: 0in 0.5in 0pt; TEXT-ALIGN: justify">During trial =
we=20
      didn<SPAN style=3D"FONT-FAMILY: 'WP =
TypographicSymbols'">=3D</SPAN>t pursue a=20
      claim for negligence against Gardere, Wynne because we hadn<SPAN=20
      style=3D"FONT-FAMILY: 'WP TypographicSymbols'">=3D</SPAN>t =
prepared ourselves=20
      for that.&nbsp; In fact, we didn<SPAN=20
      style=3D"FONT-FAMILY: 'WP TypographicSymbols'">=3D</SPAN>t have an =
expert that=20
      testified as to the failure of Gardere, Wynne to meet the standard =
of care=20
      that was necessary to have as a predecessor to a malpractice =
claim.&nbsp;=20
      We had an expert that testified that they failed to meet the =
standard of=20
      care with regard to Sverdlin, but we didn<SPAN=20
      style=3D"FONT-FAMILY: 'WP TypographicSymbols'">=3D</SPAN>t have =
that same=20
      testimony or similar testimony on behalf of a claim that AMPS =
might have=20
      for negligence.</P>
      <P class=3DMsoNormal=20
      style=3D"MARGIN: 0in 0.5in 0pt; TEXT-ALIGN: justify">&nbsp;</P>
      <P class=3DMsoNormal style=3D"LINE-HEIGHT: 150%; TEXT-ALIGN: =
justify">The=20
      summary judgment record supports Cunningham<SPAN=20
      style=3D"FONT-FAMILY: 'WP TypographicSymbols'">=3D</SPAN>s =
conclusion because,=20
      in the absence of expert testimony that Gardere Wynne had =
committed=20
      negligence against AMPS, there was no evidence to support the =
jury<SPAN=20
      style=3D"FONT-FAMILY: 'WP TypographicSymbols'">=3D</SPAN>s =
finding.&nbsp;=20

      Given the complex nature of the issues involved in the underlying=20
      litigation, expert testimony would have been necessary to =
establish the=20
      standard of care and causation with respect to a malpractice claim =
by AMPS=20
      against Gardere Wynne.&nbsp; Additionally, the trial court stated =
at the=20
      fairness hearing <SPAN=20
      style=3D"FONT-FAMILY: 'WP TypographicSymbols'">A</SPAN>that Mr.=20
      Sverdlin<SPAN style=3D"FONT-FAMILY: 'WP =
TypographicSymbols'">=3D</SPAN>s=20
      individual malpractice claims would have been the only claims to =
<SPAN=20
      style=3D"FONT-FAMILY: 'WP TypographicSymbols'">B</SPAN> to survive =
the=20
      verdict against Gardere Wynne.<SPAN=20
      style=3D"FONT-FAMILY: 'WP TypographicSymbols'">@</SPAN></P>
      <P class=3DMsoNormal=20
      style=3D"TEXT-INDENT: 0.5in; LINE-HEIGHT: 150%; TEXT-ALIGN: =
justify">Nonetheless,=20
      Swank and McCoy assert that AMPS was damaged because it did not =
share in=20
      the Gardere Wynne settlement proceeds.&nbsp; At a hearing on =
January 13,=20
      1999, the trial court in the underlying litigation considered the =
Gardere=20
      Wynne settlement.&nbsp; At that hearing, Cunningham announced the =
terms of=20
      the settlement agreement.&nbsp; He stated that Gardere Wynne would =
be=20
      making a $20 million payment <SPAN=20
      style=3D"FONT-FAMILY: 'WP TypographicSymbols'">A</SPAN>in =
consideration for=20
      which we are dismissing request for a trial amendment we had on =
behalf of=20
      AMPS and we are asking the Court to enter a take nothing =
judgment.<SPAN=20
      style=3D"FONT-FAMILY: 'WP =
TypographicSymbols'">@</SPAN>&nbsp;&nbsp;=20
      Cunningham also stated that Sverdlin would be receiving the $20 =
million=20
      settlement proceeds in his individual capacity and that none of =
the=20
      proceeds would be going to AMPS.&nbsp; Counsel for some of the =
defendants=20
      stated that it was necessary to hold a fairness hearing to =
determine=20
      whether it was fair to AMPS for Sverdlin to take the settlement =
proceeds=20
      and not give any of the proceeds to AMPS. After hearing arguments =
from=20
      counsel, the trial court stated as follows:</P>
      <P class=3DMsoNormal=20
      style=3D"MARGIN: 0in 0.5in 0pt; TEXT-INDENT: 0.5in; TEXT-ALIGN: =
justify">Okay.&nbsp;=20
      And there was a dispute as to whether or not the options had been =
properly=20
      exercised and used and whether or not he was the sole shareholder =
or=20
      whether or not those options were effective and somebody else was =
entitled=20
      to them.&nbsp; Okay?</P>
      <P class=3DMsoNormal=20
      style=3D"MARGIN: 0in 0.5in 0pt; TEXT-ALIGN: justify">&nbsp;</P>
      <P class=3DMsoNormal=20
      style=3D"MARGIN: 0in 0.5in 0pt; TEXT-INDENT: 0.5in; TEXT-ALIGN: =
justify">We=20
      had a 6-week long trial, heard all the evidence, the jury came =
back and=20
      found in favor of the plaintiff.&nbsp; Okay.</P>
      <P class=3DMsoNormal=20
      style=3D"MARGIN: 0in 0.5in 0pt; TEXT-ALIGN: justify">&nbsp;</P>
      <P class=3DMsoNormal=20
      style=3D"MARGIN: 0in 0.5in 0pt; TEXT-INDENT: 0.5in; TEXT-ALIGN: =
justify">Now,=20
      is it fair for Mr. Sverdlin to receive the settlement funds that =
have been=20
      offered in the settlement agreement by Gardere Wynne individually =
or=20
      should AMPS and the very individuals that the jury has found whose =
conduct=20
      was egregious in violation of their fiduciary duties, should they =
benefit=20
      from some of those settlement funds?&nbsp; That<SPAN=20
      style=3D"FONT-FAMILY: 'WP TypographicSymbols'">=3D</SPAN>s the =
question,=20
      isn<SPAN style=3D"FONT-FAMILY: 'WP =
TypographicSymbols'">=3D</SPAN>t it?</P>
      <P class=3DMsoNormal=20
      style=3D"MARGIN: 0in 0.5in 0pt; TEXT-ALIGN: justify">&nbsp;</P>
      <P class=3DMsoNormal style=3D"LINE-HEIGHT: 150%; TEXT-ALIGN: =
justify">The=20
      trial court then stated that it would approve the settlement =
agreement and=20
      the allocation set forth in the agreement and that a fairness =
hearing=20
      would be held in the future.&nbsp; On January 13, 1999, the trial =
court=20
      entered a judgment as to Gardere Wynne.&nbsp; In the judgment, the =
trial=20
      court (1) denied the trial amendment relating to AMPS<SPAN=20
      style=3D"FONT-FAMILY: 'WP TypographicSymbols'">=3D</SPAN>s =
malpractice claims=20
      against Gardere Wynne, (2) approved the Gardere Wynne settlement=20
      agreement, (3) set aside the jury<SPAN=20
      style=3D"FONT-FAMILY: 'WP TypographicSymbols'">=3D</SPAN>s answers =
relating to=20
      the conduct of Gardere Wynne, and (4) adjudged that Sverdlin take =
nothing=20
      by his claims against Gardere Wynne.</P>
      <P class=3DMsoNormal=20
      style=3D"TEXT-INDENT: 0.5in; LINE-HEIGHT: 150%; TEXT-ALIGN: =
justify">On=20
      January 25, 1999, the trial court conducted the fairness =
hearing.&nbsp;=20
      After hearing comments from Cunningham, the trial court stated =
that=20
      Sverdlin<SPAN style=3D"FONT-FAMILY: 'WP =
TypographicSymbols'">=3D</SPAN>s=20
      individual malpractice claims would have been the only claims to =
survive=20
      the verdict against Gardere Wynne.&nbsp; Counsel for the =
defendants in the=20
      underlying litigation did not make any objections to the =
settlement.&nbsp;=20
      The trial court found that the settlement agreement between =
Sverdlin and=20
      Gardere Wynne met <SPAN=20
      style=3D"FONT-FAMILY: 'WP TypographicSymbols'">A</SPAN>all the =
requirements=20
      of substantial fairness to the corporation.<SPAN=20
      style=3D"FONT-FAMILY: 'WP TypographicSymbols'">@</SPAN>&nbsp; We =
note that=20
      AMPS<SPAN style=3D"FONT-FAMILY: 'WP =
TypographicSymbols'">=3D</SPAN>s receiver=20
      did not object to the settlement and that AMPS<SPAN=20
      style=3D"FONT-FAMILY: 'WP TypographicSymbols'">=3D</SPAN>s board =
of directors=20
      ratified the settlement.<A title=3D""=20
      =

      Gardere Wynne settlement.&nbsp; Attempting to determine what would =
have=20
      happened <SPAN style=3D"FONT-FAMILY: 'WP =
TypographicSymbols'">B</SPAN> had=20
      the Cunningham Group not withdrawn the trial amendment or had the =
other=20
      appellees objected to the settlement <SPAN=20
      style=3D"FONT-FAMILY: 'WP TypographicSymbols'">B</SPAN> involves =
uncertainty=20
      and pure speculation.&nbsp; For example, a failure to withdraw the =
trial=20
      amendment and any objection to the settlement must be considered =
in light=20
      of the following facts:&nbsp; (1) based on the jury<SPAN=20
      style=3D"FONT-FAMILY: 'WP TypographicSymbols'">=3D</SPAN>s =
findings, the trial=20
      court declared that Sverdlin owned 100% of the stock in AMPS; (2) =
grounds=20
      did not exist to support an allocation of the settlement proceeds =
to AMPS=20
      because there was no evidence to support the jury<SPAN=20
      style=3D"FONT-FAMILY: 'WP TypographicSymbols'">=3D</SPAN>s =
malpractice finding=20
      in AMPS<SPAN style=3D"FONT-FAMILY: 'WP =
TypographicSymbols'">=3D</SPAN>s favor=20
      against Gardere Wynne; (3) the trial court<SPAN=20
      style=3D"FONT-FAMILY: 'WP TypographicSymbols'">=3D</SPAN>s =
statement at the=20
      fairness hearing that only Sverdlin<SPAN=20
      style=3D"FONT-FAMILY: 'WP TypographicSymbols'">=3D</SPAN>s =
individual=20
      malpractice claims against Gardere Wynne would have survived the =
verdict;=20
      and (4) the trial court<SPAN=20
      style=3D"FONT-FAMILY: 'WP TypographicSymbols'">=3D</SPAN>s framing =
of the=20
      issue at the January&nbsp;13, 1999 hearing <SPAN=20
      style=3D"FONT-FAMILY: 'WP TypographicSymbols'">B</SPAN> <SPAN=20
      style=3D"FONT-FAMILY: 'WP TypographicSymbols'">A</SPAN>[S]hould =
AMPS and the=20
      very individuals that the jury has found whose conduct was =
egregious in=20
      violation of their fiduciary duties, should they benefit from some =
of=20
      those settlement funds?<SPAN=20
      style=3D"FONT-FAMILY: 'WP TypographicSymbols'">@</SPAN>&nbsp; =
Given these=20
      facts, it is highly speculative to assume that the trial court =
would have=20
      sustained any objection to the settlement or awarded any of the =
settlement=20
      proceeds to AMPS.</P>
      <P class=3DMsoNormal=20
      style=3D"TEXT-INDENT: 0.5in; LINE-HEIGHT: 150%; TEXT-ALIGN: =
justify">Swank=20
      and McCoy did not present any summary judgment evidence =
establishing that=20
      a reasonable or valid objection could have been made to the =
Gardere Wynne=20
      settlement or that the trial court would have been required to =
grant such=20
      an objection.&nbsp; Swank<SPAN=20
      style=3D"FONT-FAMILY: 'WP TypographicSymbols'">=3D</SPAN>s and =
McCoy<SPAN=20
      style=3D"FONT-FAMILY: 'WP TypographicSymbols'">=3D</SPAN>s expert, =
Marable,=20
      stated that, had appellees adhered to applicable standards of =
care, <SPAN=20
      style=3D"FONT-FAMILY: 'WP TypographicSymbols'">A</SPAN>the =
disbursement of=20
      the $20,000,000.00 settlement funds . . . would have been =
stopped.<SPAN=20
      style=3D"FONT-FAMILY: 'WP TypographicSymbols'">@</SPAN>&nbsp; =
Marable<SPAN=20
      style=3D"FONT-FAMILY: 'WP TypographicSymbols'">=3D</SPAN>s =
affidavits failed=20
      to raise a fact issue on causation and damages for at least two=20
      reasons.&nbsp; First, the statement that the disbursement of the=20
      settlement funds would have been stopped is mere speculation and=20
      conclusory.&nbsp; Marable did not provide any facts in his =
affidavit in=20
      support of his claim that the trial court would have stopped the=20
      disbursement of the settlement proceeds.&nbsp; Conclusory =
statements by an=20
      expert are insufficient to support or defeat summary =
judgment.&nbsp;=20
      <I>Wadewitz v. Montgomery</I>, 951 S.W.2d 464, 466 (Tex. =
1997).&nbsp;=20
      Second, Marable did not state any facts supporting a conclusion =
(1) that=20
      grounds existed for objecting to the settlement or (2) that =
grounds=20
      existed for awarding a portion of the settlement proceeds to =
AMPS.&nbsp;=20
      Swank and McCoy offered no summary judgment evidence showing that =
the=20
      complained-of conduct of appellees caused any damage to=20
      AMPS.</P></DIV><SPAN=20
      style=3D"FONT-SIZE: 12pt; LINE-HEIGHT: 150%; FONT-FAMILY: 'Times =
New Roman'"><BR=20
      style=3D"PAGE-BREAK-BEFORE: auto" clear=3Dall></SPAN>

      <P class=3DMsoNormal=20
      style=3D"TEXT-INDENT: 0.5in; LINE-HEIGHT: 150%; TEXT-ALIGN: =
justify">Swank<SPAN=20
      style=3D"FONT-FAMILY: 'WP TypographicSymbols'">=3D</SPAN>s and =
McCoy<SPAN=20
      style=3D"FONT-FAMILY: 'WP TypographicSymbols'">=3D</SPAN>s claims =
that they=20
      were damaged by AMPS<SPAN=20
      style=3D"FONT-FAMILY: 'WP TypographicSymbols'">=3D</SPAN>s failure =
to recover=20
      part of the proceeds from the Gardere Wynne settlement is based on =
<SPAN=20
      style=3D"FONT-FAMILY: 'WP TypographicSymbols'">A</SPAN>speculation =
upon=20
      speculation.<SPAN=20
      style=3D"FONT-FAMILY: 'WP TypographicSymbols'">@</SPAN>&nbsp; To =
support=20
      their damages claims, Swank and McCoy would be required to =
speculate on=20
      the following issues, among others: (1) Would the trial court have =

      considered any objection to the Gardere Wynne settlement in light =
of the=20
      facts (a) that no evidence supported the jury<SPAN=20
      style=3D"FONT-FAMILY: 'WP TypographicSymbols'">=3D</SPAN>s =
malpractice finding=20
      in favor of AMPS against Gardere Wynne, (b) that, based on the =
jury<SPAN=20
      style=3D"FONT-FAMILY: 'WP TypographicSymbols'">=3D</SPAN>s =
findings, the trial=20
      court had determined that Sverdlin owned 100% of the stock in =
AMPS, and=20
      (c) that, based on the jury<SPAN=20
      style=3D"FONT-FAMILY: 'WP TypographicSymbols'">=3D</SPAN>s =
findings, the trial=20
      court considered Swank, McCoy, and the other defendants to be =
wrongdoers?;=20
      (2)&nbsp;Would the trial court have sustained an objection to the=20
      settlement agreement and refused to approve the settlement unless =
some of=20
      the proceeds were allocated to AMPS?; (3) Would Sverdlin have gone =
through=20
      with the settlement if the trial court had allocated a portion of =
the=20
      proceeds to AMPS?; (4) Assuming that the trial court allocated =
part of the=20
      proceeds to AMPS and that AMPS received the proceeds, would AMPS =
have=20
      distributed some part of the proceeds to its shareholders, as =
opposed to,=20
